You must comply with all applicable laws, including but not limited to the CAN-SPAM Act, GDPR, and any local laws concerning online marketing and advertising.

3.3. Prohibited Activities

You shall not engage in any illegal, deceptive, or fraudulent activities. This includes, but is not limited to, spamming, unauthorized cookie stuffing, and misleading advertising.

4. Commissions

4.1. Eligibility

Commissions are earned on sales generated through your unique affiliate links. Only sales that are tracked through our system and are made to customers who have clicked on your affiliate link are eligible for commission.

4.2. Payment

Commissions will be paid on a monthly basis, provided that your account balance has reached the minimum specified payout amount. Payments will be made via PayPal or bank transfer.

4.3. Returns and Chargebacks

If a product that generated a commission is returned by the customer or if a chargeback occurs, the corresponding commission will be deducted from your account.

5. Term and Termination

This agreement begins upon our acceptance of your affiliate application and will continue unless terminated.

Either party may terminate this agreement at any time, with or without cause, by giving the other party written notice. Upon termination, you will immediately cease using and remove all links to the Thao Tree website.

Upon termination, any accrued but unpaid commissions as of the date of termination will be paid to you, provided that the minimum payout amount has been met.

6. Confidentiality

All information provided to you by Thao Tree, including but not limited to product information, pricing, and customer details, must be kept confidential and not disclosed to any third parties.

7. Limited License and Intellectual Property

Thao Tree grants you a non-exclusive, revocable right to use the provided affiliate links and banners solely for the purpose of promoting our website.

7.2. Intellectual Property

You acknowledge that all rights, titles, and interests in Thao Tree’s trademarks, logos, and other intellectual property are the exclusive property of Thao Tree.

8. Disclaimers and Limitation of Liability

Thao Tree makes no express or implied warranties or representations with respect to the Affiliate Program or any products sold through the program. Thao Tree will not be liable for any indirect, special, or consequential damages arising in connection with this agreement.

9. Modification

Thao Tree reserves the right to modify any terms and conditions of this agreement at any time. We will notify you of any changes via email or through our website. Your continued participation in the Affiliate Program after any such modifications shall constitute your consent to such changes.

10. Miscellaneous

10.1. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Thao Tree operates, without regard to its conflict of law principles.

10.2. Entire Agreement

This agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
